Governed in Ethiopia by the Civil Procedure Code and the Commercial Code 2021 (Proclamation No. 1243/2021). The Addis Ababa Chamber of Commerce and Sectoral Associations (AACCSA) operates Ethiopia's primary arbitration center.
The foundational document of a company registered in Ethiopia, equivalent to a memorandum and articles of association in common law systems. It sets out the company's name, purpose, share capital, governance structure, and rules for operations. Required for company registration under the Ethiopian Commercial Code 2021 (Proclamation No. 1243/2021).
A court order freezing or seizing a debtor's property to secure a potential judgment. Under Ethiopian Civil Procedure Code, a party may apply for attachment before or after judgment. It prevents the debtor from transferring or disposing of the attached assets.
Under the Ethiopian Commercial Code 2021 (Proclamation No. 1243/2021), once a court opens a reorganization or bankruptcy proceeding, all individual creditor enforcement actions — including foreclosure, attachment, and execution — are automatically suspended. Cassation decisions are the primary source of judge-made law in the Ethiopian civil law system and are published by the Federal Supreme Court.

Federal Supreme Court
ፌዴራል ጠቅላይ ፍርድ ቤትThe highest federal court in Ethiopia, comprising the Cassation Bench (highest authority on law) and regular benches. It has original jurisdiction over certain major cases and appellate jurisdiction over Federal High Court decisions. Its Cassation Bench decisions are binding on all courts in Ethiopia.
The legal obligation of a director, officer, or other fiduciary to act in the best interests of the company and its shareholders. Under Ethiopian Commercial Code 2021, directors must act with care, loyalty, and in good faith. Breach of fiduciary duty can result in personal liability for damages.
The legal process by which a lender (typically a bank) enforces its security interest over property when a borrower defaults. In Ethiopia, banks may foreclose on mortgaged property through court proceedings or, in some cases, through extrajudicial enforcement mechanisms. Subject to the automatic stay in bankruptcy/reorganization proceedings.

Individual income tax is progressive (0%–35%). Certain sectors and investment projects may qualify for tax holidays under investment incentive regulations.
A court order requiring a party to do or refrain from doing a specific act. Ethiopian courts may issue temporary injunctions (to preserve the status quo during proceedings) or permanent injunctions. The investment permit specifies the type of business, capital amount, and location. It is a prerequisite for obtaining a business license and registering a company in most sectors.

የቦታ ሊዝ (Ye-Bota Liz)In Ethiopia, all land is owned by the state; individuals and companies obtain land use rights through leasehold. Urban land is leased by city administrations through auction or allocation. Industrial zones and investment projects obtain land through EIC coordination. Lease terms vary by use (residential, commercial, industrial).
The recognition of an entity (company, association, or institution) as a legal person capable of owning property, entering contracts, suing, and being sued. In Ethiopia, companies acquire legal personality upon registration with the relevant authority. A PLC or Share Company is a distinct legal person from its shareholders.
A fundamental principle of company law whereby shareholders' personal liability for company debts is limited to the amount of their investment (share capital contribution). Under Ethiopian law, shareholders of a PLC or Share Company are not personally liable for the company's debts beyond their unpaid subscription. Limited liability can be pierced in cases of fraud or abuse.
The winding up and dissolution of a company, converting its assets into cash to pay creditors and distribute any remaining amount to shareholders. Under Ethiopian Commercial Code 2021, liquidation may be voluntary (shareholders' resolution) or compulsory (court order). A liquidator is appointed to manage the process.

Ethiopian law requires powers of attorney to be notarized. Special powers of attorney are needed for specific transactions; general powers of attorney authorize broad representation.
Proclamation
አዋጅ (Awaj)The primary form of legislation in Ethiopia, enacted by the House of Peoples' Representatives (federal parliament) or regional councils. Proclamations are the highest form of written law below the Constitution. They are published in the Federal Negarit Gazette (federal) or regional gazettes. All major Ethiopian laws — Commercial Code, Tax laws, Investment laws — are proclamations.

Ethiopia's federal structure divides the country into 12 regional states (including Addis Ababa and Dire Dawa as city administrations). Share Companies can list on the Ethiopian Securities Exchange. The minimum paid-up capital requirement and governance rules are stricter than for a PLC. A private contract between shareholders of a company governing their rights, obligations, and the operation of the company. It typically covers share transfer restrictions, pre-emption rights, deadlock resolution mechanisms, tag-along and drag-along rights, dividend policy, and management rights. Supplements but does not replace the Articles of Association.
A tax levied on certain legal documents and instruments in Ethiopia including contracts, share transfers, court filings, and loan agreements. Governed by the Stamp Duty Proclamation. The rate varies depending on the type of instrument. Failure to pay stamp duty can affect the admissibility and enforceability of documents.

A temporary exemption from income tax granted to eligible investors in Ethiopia under investment incentive legislation. Tax holidays range from 2 to 7 years depending on the type of investment, sector, and location (with longer holidays for investments in less-developed regions). A contract by which a foreign company (licensor) transfers technology, know-how, patents, or trademarks to an Ethiopian entity (licensee) in exchange for royalty payments. Must be registered with the Ethiopian Intellectual Property Office (EIPO). Royalty payments are subject to withholding tax. Subject to NBE approval for forex remittances.
