Company Registration Process in Ethiopia

Our former judges guide you through every regulatory step — ensuring speed, compliance, and zero costly errors.

01

Entity Selection & Structure

We advise on the optimal legal structure — Private Limited Company (PLC), Share Company, Branch, or Representative Office — based on your sector, ownership, and tax objectives under the 2021 Commercial Code.

02

Investment Permit (EIC)

We prepare and submit your investment permit application to the Ethiopian Investment Commission, including business plan, feasibility study, and all required documentation under Investment Proclamation No. 1180/2020.

03

Trade Registration

We complete trade name reservation and registration with the Ministry of Trade and Regional Integration (MoTRI), including Memorandum and Articles of Association drafting and notarization.

04

Tax & Social Security

We register your company for Tax Identification Number (TIN) with the Ministry of Revenues and Social Security with POESSA — ensuring full compliance from day one.

05

Sector Licenses

Depending on your business activity, we obtain sector-specific licenses from relevant authorities — National Bank of Ethiopia, Ethiopian Food and Drug Authority, Ministry of Health, and others.

06

Ongoing Compliance

We provide ongoing regulatory compliance support — annual permit renewals, commercial code compliance, board governance, and corporate secretarial services.

Frequently Asked Questions

Company Formation & Registration in Ethiopia

Company registration in Ethiopia typically takes 5–15 business days for the core trade registration process through the Ministry of Trade and Regional Integration. Investment permit approval from the Ethiopian Investment Commission (EIC) for foreign investors typically takes an additional 2–4 weeks, depending on the sector and completeness of documentation.

Under the Ethiopian Investment Proclamation No. 1180/2020, foreign investors generally require a minimum capital of USD 200,000 for most sectors. For joint ventures with Ethiopian partners, the minimum is USD 150,000. Certain priority sectors designated by the Council of Ministers may have different requirements.

Yes. Ethiopia allows 100% foreign ownership in most sectors. However, certain sectors are reserved exclusively for Ethiopian nationals or require joint venture arrangements, including retail trade, import-export of goods produced domestically, broadcasting, and certain financial services. The Ethiopian Investment Commission (EIC) publishes the current positive list of sectors open to foreign investment.

Foreign investors in Ethiopia can register as a Private Limited Company (PLC), a Share Company, a Branch Office, or a Liaison/Representative Office. A PLC is the most common structure for foreign direct investment. Branch offices are permitted for foreign companies with existing operations.

After trade registration, foreign investors must obtain: (1) an Investment Permit from the Ethiopian Investment Commission; (2) a Business License from the relevant sector ministry; (3) Tax Identification Number (TIN) from the Ministry of Revenues; (4) Social Security registration; and (5) any sector-specific licenses required for your activity.
