Company registration in Ethiopia typically takes 5–15 business days for the core trade registration process through the Ministry of Trade and Regional Integration. Investment permit approval from the Ethiopian Investment Commission (EIC) for foreign investors typically takes an additional 2–4 weeks, depending on the sector and completeness of documentation.

Under the Ethiopian Investment Proclamation No. 1180/2020, foreign investors generally require a minimum capital of USD 200,000 for most sectors. For joint ventures with Ethiopian partners, the minimum is USD 150,000. Certain priority sectors designated by the Council of Ministers may have different requirements.

Yes. Ethiopia allows 100% foreign ownership in most sectors. However, certain sectors are reserved exclusively for Ethiopian nationals or require joint venture arrangements, including retail trade, import-export of goods produced domestically, broadcasting, and certain financial services. The Ethiopian Investment Commission (EIC) publishes the current positive list of sectors open to foreign investment.

Foreign investors in Ethiopia can register as a Private Limited Company (PLC), a Share Company, a Branch Office, or a Liaison/Representative Office. A PLC is the most common structure for foreign direct investment. Branch offices are permitted for foreign companies with existing operations.

After trade registration, foreign investors must obtain: (1) an Investment Permit from the Ethiopian Investment Commission; (2) a Business License from the relevant sector ministry; (3) Tax Identification Number (TIN) from the Ministry of Revenues; (4) Social Security registration; and (5) any sector-specific licenses required for your activity.
